Terms of service

This Agreement is between Soal (“Company”), and the user (“User”) who accesses or uses the software, applications, and services offered by the Company (jointly, the “Services”). This Agreement presides over the User’s usage of the Services. By accessing or using the Services, the User consents to adhere to the conditions of this Agreement.

Terms Acceptance

The User, by using the Services, confirms and assures that they have perused and comprehended this Agreement and consent to its terms. If the User disagrees with this Agreement, they should avoid accessing or utilizing the Services.

Services Usage

2.1 Eligibility

The User must possess legal age and capacity to commit to this Agreement. The User confirms and assures that they fulfill these eligibility conditions by using the Services.

2.2 License

The Company, under the conditions of this Agreement, confers the User a restricted, non-exclusive, non-transferable, and revocable license to access and utilize the Services for internal business purposes. The User must not alter, adapt, duplicate, distribute, reverse engineer, or create derivative products from the Services.

2.3 User Responsibilities

The User is accountable for the security of their account credentials and all operations conducted through their account. The User should not engage in any activity that contravenes applicable laws, regulations, or others’ rights during the use of the Services.

Intellectual Property

3.1 Ownership

The Company maintains all rights, title, and interest in the Services, including all intellectual property rights. The User acknowledges that their usage of the Services does not grant them any ownership rights.

3.2 Feedback

The User can offer suggestions, ideas, or feedback about the Services (“Feedback”) to the Company. The User conveys to the Company a worldwide, perpetual, irrevocable, royalty-free license to employ, alter, reproduce, and incorporate the Feedback into the Services without any duty to the User.

Privacy and Data Protection

The Company’s collection, utilization, and protection of personal data comply with the Company’s Privacy Policy. By using the Services, the User consents to the Company’s Privacy Policy.

Liability Limitation

To the utmost extent allowed by law, the Company will not be held responsible for any indirect, incidental, consequential, or punitive damages resulting from or relating to the usage or inability to use the Services, even if the Company has been informed about the possibility of such damages. The Company’s liability under this Agreement, regardless of the cause, will be limited to the fees paid by the User for the Services during the twelve (12) months preceding the event causing the liability.

Indemnification

The User agrees to indemnify, defend, and hold the Company and its directors, officers, employees, and affiliates harmless from any claims, liabilities, damages, losses, costs, or expenses arising from or relating to the User’s usage of the Services or violation of this Agreement.

Termination

The Company may suspend or terminate the User’s access to the Services at any moment, with or without reason. The User may terminate their usage of the Services by discontinuing the Services. Upon termination, the User’s rights to use the Services will immediately cease, and the provisions of this Agreement that by their nature should survive termination will.
